1. AGREEMENT TO TERMS

These Terms and Conditions ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you," "your," or "User"), and LDH Financial Services, Inc., an Arizona corporation doing business as LDH Insurance Services ("Company," "we," "us," or "our"), concerning your access to and use of the website located at www.ldhfinancial.com, any related websites, subdomains, mobile experiences, and any other media, content, tools, or services that link to or reference these Terms (collectively, the "Site" or "Services").

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Notice, which is incorporated herein by reference. If you do not agree with these Terms, you are expressly prohibited from using the Site and must discontinue use immediately.

We reserve the right to modify these Terms at any time. Changes take effect upon posting of the revised Terms, indicated by an updated "Last updated" date. Your continued use of the Site following the posting of revised Terms constitutes acceptance of those changes. It is your responsibility to review these Terms periodically.

2. ELIGIBILITY

The Site is intended for users who are at least eighteen (18) years of age and who reside in a jurisdiction where the Company is licensed and authorized to conduct business. By using the Site, you represent and warrant that:

• You are at least 18 years old and have the legal capacity to enter into these Terms;

• You are not a minor in the jurisdiction in which you reside;

• You will not access the Site through automated or non-human means, including bots, scripts, or scrapers, except as expressly authorized;

• You will not use the Site for any illegal or unauthorized purpose;

• Your use of the Site will not violate any applicable law or regulation.

Persons under 18 years of age are not permitted to register for, use, or submit information through the Site. The Site is not directed to individuals in the European Economic Area or the United Kingdom, and we make no representation that the Site is appropriate or available for use outside the United States.

3. NATURE OF SERVICES — IMPORTANT DISCLOSURES

3.1 Independent Insurance Agency

LDH Financial Services, Inc. is an independent insurance agency. We are not an insurance carrier, insurer, or underwriter. We do not issue insurance policies, make coverage determinations, adjudicate claims, or pay claims. All insurance products referenced on the Site are underwritten and issued by third-party insurance carriers, and all coverage is subject solely to the terms, conditions, limitations, exclusions, and eligibility requirements of the actual policy contract issued by the applicable carrier.

3.2 No Offer, Solicitation, or Binding of Coverage

Content on the Site is provided for general informational purposes only and does not constitute an offer to sell, a solicitation of an offer to buy, or a recommendation of any insurance product, security, or financial product in any jurisdiction where such offer, solicitation, or recommendation would be unlawful.

Submitting a quote request, contact form, application, or any other communication through the Site does not bind, alter, extend, or terminate insurance coverage of any kind. No coverage exists until an application has been formally accepted by an insurance carrier and the carrier has issued a policy. Do not use the Site, email, or text messaging to report a claim, request emergency coverage, cancel a policy, or make any time-sensitive insurance request. Such requests must be made directly by telephone to our office or to your insurance carrier.

3.3 No Legal, Tax, or Investment Advice

Our firm does not provide legal or tax advice. Nothing on the Site — including articles, newsletters, calculators, glossaries, tax library materials, videos, or any other content — constitutes legal, tax, accounting, actuarial, or personalized investment advice. You should consult with your own qualified legal, tax, and financial advisors before taking any action that may have legal or tax implications. Any discussion of tax treatment reflects our general understanding of applicable law as of the date of publication and is subject to change, including retroactively.

3.4 Securities-Related Activities

Securities products and advisory services, where offered, are made available only through appropriately licensed and registered individuals and entities and are governed by separate agreements, disclosures, and account documents that supersede these Terms with respect to those products and services. Insurance products offered through the Company are not deposits, are not FDIC insured, are not obligations of or guaranteed by any bank, and, where applicable, involve investment risk including possible loss of principal. You may verify the background of a financial professional through FINRA's BrokerCheck at https://brokercheck.finra.org.

3.5 Calculators, Illustrations, and Projections

Any calculator, illustration, projection, hypothetical, or modeling tool made available on the Site is provided solely for illustrative purposes. Results are hypothetical, are based on assumptions and information you supply, do not reflect actual carrier underwriting, fees, charges, taxes, or market performance, and are not a guarantee, quote, promise, or prediction of future results or of coverage or pricing you will receive. Actual premiums, benefits, values, and outcomes will differ, potentially materially.

4. ARTIFICIAL INTELLIGENCE FEATURES

The Site may offer features, tools, chat interfaces, or content powered by artificial intelligence, machine learning, or similar technologies ("AI Products"), provided through third-party AI service providers.

By using AI Products, you acknowledge and agree that:

• AI-generated output may be inaccurate, incomplete, outdated, or misleading. Output is generated automatically and is not reviewed by a licensed professional before delivery to you.

• AI Products do not provide insurance, legal, tax, or investment advice, do not create an agency or advisory relationship, and must not be relied upon as a substitute for consultation with a licensed professional.

• AI-generated output never constitutes a quote, binder, coverage confirmation, or approval of any application.

• Your inputs and related information may be transmitted to and processed by third-party AI service providers as described in our Privacy Notice, and your use of AI Products must not violate the terms or policies of those providers.

• You must not submit sensitive personal information (including Social Security numbers, health information, or financial account credentials) into any AI feature unless expressly instructed to do so.

• You are solely responsible for verifying any AI-generated output before relying on it, and you assume all risk arising from such reliance.

5. ACCURACY OF INFORMATION YOU PROVIDE

All information you submit to us — through forms, applications, email, telephone, text message, or otherwise — must be true, complete, and accurate, and you must promptly notify us of any changes to such information. You acknowledge that insurance carriers rely on the accuracy of application information and that material misrepresentation or omission may result in denial of an application, rescission of a policy, denial of a claim, or other adverse consequences for which the Company bears no responsibility.

6. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site and all of its contents — including source code, databases, functionality, software, website designs, text, photographs, graphics, logos, audio, video, and marks (collectively, the "Content") — are owned or licensed by us and are protected by United States and international copyright, trademark, and other intellectual property laws.

The Content is provided on an "AS IS" basis for your personal, non-commercial informational use only. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access the Site and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use.

Except as expressly permitted, no part of the Site or Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission. Certain articles, newsletters, videos, calculators, and library materials made available on the Site are licensed from third-party content providers and remain the property of those providers; such materials may carry additional restrictions and may not be redistributed.

7. PROHIBITED ACTIVITIES

You may not access or use the Site for any purpose other than that for which we make it available. Without limiting the foregoing, you agree not to:

• Systematically retrieve data or content from the Site to create or compile a collection, compilation, database, or directory without our written permission;

• Use the Site to obtain quotes, information, or content for the benefit of a competing agency, brokerage, lead generator, or aggregator;

• Trick, defraud, or mislead us or other users, including by attempting to obtain sensitive account information;

• Circumvent, disable, or interfere with security-related features of the Site;

• Submit false, fraudulent, or misleading information, or impersonate another person or entity;

• Use the Site to solicit business, advertise, or sell goods or services;

• Engage in unauthorized framing, linking, scraping, data mining, or use of robots, spiders, or similar data-gathering tools;

• Upload or transmit viruses, malware, Trojan horses, or other material that interferes with the operation of the Site;

• Attempt to gain unauthorized access to the Site, servers, or any connected systems;

• Harass, abuse, threaten, or harm another person, or disparage or harm the Company;

• Use the Site in a manner inconsistent with any applicable law or regulation, including insurance and securities laws;

• Copy or adapt the Site's software, or decipher, decompile, disassemble, or reverse engineer any of the software comprising the Site.

8. USER SUBMISSIONS, TESTIMONIALS, AND FEEDBACK

If you submit any content to us — including questions, comments, suggestions, ideas, reviews, or testimonials ("Submissions") — you agree that such Submissions are non-confidential and non-proprietary, and you grant us an unrestricted, perpetual, irrevocable, worldwide, royalty-free, fully-paid, transferable, sublicensable license to use, reproduce, modify, publish, display, and distribute the Submission and your name in connection with it, for any lawful purpose, including marketing, without compensation or attribution.

You represent and warrant that you own or control all rights in your Submissions, that they are accurate, and that they do not violate these Terms, any law, or the rights of any third party. Testimonials reflect the individual experience of the person providing them, are not paid unless disclosed, and are not a guarantee that you will experience similar results. We reserve the right to remove or edit any Submission at our sole discretion.

9. ELECTRONIC COMMUNICATIONS, SMS, AND CONSENT

By using the Site, submitting a form, or providing your contact information, you consent to receive electronic communications from us and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures, contracts, orders, and records.

If you provide a mobile telephone number and opt in, you consent to receive text messages from us, which may include service, administrative, and marketing messages. Message and data rates may apply. Message frequency varies. You may opt out at any time by replying "STOP" or "UNSUBSCRIBE," or by contacting us using the details in Section 18. Reply "HELP" for assistance. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Opting out of marketing messages does not stop non-marketing, service-related communications necessary to administer your relationship with us. Consent to receive marketing communications is not a condition of purchasing any product or service.

Email and text message are not secure channels. Do not transmit Social Security numbers, financial account numbers, health information, or other sensitive data by email or text.

10. THIRD-PARTY WEBSITES AND CONTENT

The Site may contain links to third-party websites, carrier portals, payment processors, articles, videos, calculators, and other Third-Party Content. We do not investigate, monitor, endorse, warrant, or assume responsibility for any Third-Party Content or Third-Party Websites, including their accuracy, legality, privacy practices, or security. Links are provided as a convenience only.

If you access a Third-Party Website or transact with a third party, you do so at your own risk and subject to that third party's terms and privacy policies, not ours. We are not responsible for any loss or damage arising from such access or transactions, and you agree to hold us harmless from them.

11. SITE MANAGEMENT

We reserve the right, but not the obligation, to: (a) monitor the Site for violations of these Terms; (b) take appropriate legal action against anyone who, in our sole discretion, violates these Terms or applicable law, including reporting such user to law enforcement; (c) refuse, restrict, limit, or disable access to the Site or any portion of it; (d) remove or disable any content that is excessive in size or burdensome to our systems; and (e) otherwise manage the Site to protect our rights and property and to facilitate its proper functioning.

12. PRIVACY

We care about data privacy and security. Please review our Privacy Notice, which is incorporated into these Terms. By using the Site, you agree to be bound by the Privacy Notice. The Site is hosted in the United States. If you access the Site from any other region with laws governing personal data collection, use, or disclosure that differ from United States law, you are transferring your data to the United States by your continued use of the Site, and you expressly consent to have your data transferred to and processed in the United States.

13. TERM AND TERMINATION

These Terms remain in full force and effect while you use the Site. Without limiting any other provision, we reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Site to any person for any reason or no reason, including for breach of any representation, warranty, or covenant in these Terms or of any applicable law.

We may terminate your use or participation in the Site, delete any content you submitted, and take any legal action we deem appropriate, at any time and without warning. If we terminate or suspend your access for any reason, you are prohibited from registering or creating a new account under your name, a fake name, or the name of any third party.

14. DISCLAIMER OF WARRANTIES

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SITE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE OF IT, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTY OR REPRESENTATION AS TO THE ACCURACY, COMPLETENESS, CURRENCY, OR RELIABILITY OF THE SITE'S CONTENT, INCLUDING ARTICLES, NEWSLETTERS, CALCULATOR OUTPUTS, TAX LIBRARY MATERIALS, GLOSSARY ENTRIES, VIDEOS, AND AI-GENERATED OUTPUT. Insurance products, rates, availability, and underwriting standards change frequently and vary by state, carrier, and individual circumstances. Content may become outdated, and we assume no obligation to update it.

WE ASSUME NO LIABILITY FOR: (a) errors, mistakes, or inaccuracies of content; (b) personal injury or property damage resulting from your access to or use of the Site; (c) unauthorized access to our servers or any personal or financial information stored therein; (d) interruption or cessation of transmission to or from the Site; (e) bugs, viruses, or malicious code transmitted through the Site by any third party; (f) errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, transmitted, or otherwise made available via the Site; or (g) any failure, delay, or non-delivery of any communication submitted through the Site, including any request relating to coverage, claims, or policy changes.

We do not warrant, endorse, or guarantee any product or service advertised or offered by a third party through the Site. As with any decision involving insurance or financial products, you should exercise your own judgment and consult appropriate professionals.

15. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF INSURANCE COVERAGE, UNCOVERED CLAIMS, OR OTHER ECONOMIC LOSS ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) THE AMOUNT PAID BY YOU TO US DIRECTLY (EXCLUDING INSURANCE PREMIUMS REMITTED TO CARRIERS) IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

This limitation applies to liability arising from Site use and does not purport to limit any duty or liability the Company may have to a client under applicable insurance law arising from a separate agency or brokerage relationship established outside the Site.

Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.

16. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Company and its subsidiaries, affiliates, officers, directors, agents, and employees from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (a) your use of the Site; (b) your breach of these Terms; (c) any breach of your representations and warranties; (d) your violation of the rights of a third party, including intellectual property rights; (e) any false, inaccurate, or incomplete information you provide to us or to any insurance carrier; or (f) any harmful act toward any other user of the Site.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

17. GOVERNING LAW AND DISPUTE RESOLUTION

17.1 Governing Law

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles.

17.2 Informal Resolution

To expedite resolution and control cost, you and the Company agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating formal proceedings. Informal negotiations commence upon written notice from one party to the other.

17.3 Binding Arbitration

If informal negotiation does not resolve the dispute, any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall take place in Maricopa County, Arizona, and shall be conducted in English by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

CLASS ACTION WAIVER: You and the Company agree that any arbitration shall be conducted in your individual capacity only and not as a class action or other representative action, and you expressly waive your right to file a class action or seek relief on a class basis.

EXCEPTIONS: The arbitration provision does not apply to (a) claims seeking to enforce or protect intellectual property rights; (b) claims of theft, piracy, invasion of privacy, or unauthorized use; (c) claims that may be brought in small claims court; or (d) any claim, dispute, or proceeding relating to an insurance policy, a claim under an insurance policy, or a securities account, which shall instead be governed by the dispute resolution provisions of the applicable policy, carrier agreement, account agreement, or by applicable law or regulatory forum (including, where applicable, FINRA arbitration).

17.4 Time Limitation

To the extent permitted by law, any claim relating to the Site must be filed within one (1) year after the cause of action arose, or it is permanently barred.

19. MISCELLANEOUS

Entire Agreement. These Terms and any policies or operating rules posted by us constitute the entire agreement between you and us regarding the Site. Product-specific agreements (including insurance policies, carrier applications, and securities account agreements) control over these Terms as to those products.

No Waiver. Our failure to exercise or enforce any right or provision does not operate as a waiver of that right or provision.

Severability. If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision is severable and does not affect the validity and enforceability of the remaining provisions.

Assignment. We may assign our rights and obligations under these Terms at any time. You may not assign yours without our prior written consent.

No Agency. No joint venture, partnership, employment, or agency relationship is created between you and the Company as a result of these Terms or your use of the Site. Use of the Site alone does not create an agent-client, broker-client, or fiduciary relationship.

Force Majeure. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, utility or telecommunications failures, cyberattacks, labor disputes, or governmental action.

Interpretation. These Terms will not be construed against us by virtue of having drafted them. Headings are for convenience only.
